Alaska and Hawaiian Airlines Extend DOJ Merger Review Deadline
Alaska Airlines and Hawaiian Airlines, along with the United States Department of Justice (DOJ), have agreed to a short extension of the formal review period for their proposed merger. The new deadline is now set for 0001L (0401Z) on August 15, as detailed in their recent regulatory filings with the US Securities and Exchange Commission on July 30.
This extension marks a continuation of the cooperative efforts between the airlines and the DOJ to thoroughly review the merger details, initially set to conclude by August 5. The carriers have committed not to finalize the merger within 90 days from the date they certify substantial compliance with the DOJ’s review process, unless they receive explicit approval from the department.
The merger agreement, valued at USD 1.9 billion, was first established on December 2, 2023, between Hawaiian Holdings and Alaska Air Group. This strategic move includes Alaska Air Group assuming approximately USD 900 million of Hawaiian’s debt. Post-transaction, both airlines will continue to operate independently until they can consolidate operations under a single operating certificate. However, they will maintain their individual brand identities, aiming to preserve consumer choice while enhancing integrated loyalty benefits and customer service as previously announced this month.
This extension is a critical step as both airlines work closely with regulatory authorities to ensure a smooth transition and adherence to all necessary legal and competitive standards.
