Brazil’s Flapper Acquires Black Aviação, Launches Jet Society

Brazilian charter marketplace Flapper has acquired RBAC 135-certified operator Black Taxi Aéreo, also known as Black Aviação, in an all-cash deal that expands its fleet and infrastructure while launching a new fractional ownership program called Jet Society. The move marks a significant step in Flapper’s strategy to broaden its premium aviation services in Brazil.
The acquisition was partially funded by Flapper’s BRL 5.8 million ($1.1 million) capital raise completed in July. Under the new Jet Society program, customers will gain access to fractional ownership opportunities starting with Black Aviação’s existing fleet of two Beechjet 400As, each configured with eight seats and certified for air taxi operations.
Flapper intends to grow Black Aviação’s fleet to five aircraft by the end of 2025. Planned additions include a Gulfstream GIV-SP, owned by Flapper’s majority shareholder and expected to join the fleet in the third quarter, a Cessna 208B Caravan, and a Beechcraft King Air. All aircraft will be available for both charter services and fractional ownership.
Black Aviação also manages five additional aircraft exclusively and operates two hangars totaling 6,000 square meters at Belo Horizonte Pampulha Airport. Both companies are headquartered in Minas Gerais, enabling close operational integration while maintaining separate brands.
Following the acquisition, Black Aviação’s founder, Rafael Matos, will serve as Flapper’s head of aviation and aircraft management. With this deal, Flapper strengthens its position as Brazil’s leading private aviation marketplace and expands into the growing fractional ownership market through Jet Society.
