Lufthansa Closes Minority Stake Acquisition in ITA Airways

The announcement came after reports by the German news agency dpa, which cited information shared by Chairman and CEO Carsten Spohr during an internal staff meeting in December. Earlier statements from the Lufthansa parent company had indicated that the deal was expected to close in early 2025.

After several months of discussions and adjustments in response to regulatory concerns, the European Commission finally approved the deal on November 29, 2024. The approval was granted after commitments were made by Lufthansa and the Italian Ministry of Economy and Finance to designate easyJet, IAG (International Airlines Group), and Air France-KLM as suitable “remedy takers” under the commitments required to maintain competitive balance in the market.

The acquisition of ITA Airways, which operates primarily out of Rome-Fiumicino, marks a historic partnership that could reshape the dynamics of the European aviation landscape.
